Terms of Service

Effective date: July 11, 2026. Written in plain English on purpose: what you are buying, what we promise, what we do not promise, and how we treat each other if something goes wrong.

Who we are and what these terms cover

These terms govern your use of olventra.com and any services you purchase from Olventra ("Olventra", "we", "us"): automation and CRM builds, AI agent setups, ongoing partnership plans, dedicated specialist seats, pay-as-you-go work, and related consulting. By using the site or engaging us, you agree to these terms. For clients who contract through Upwork, Upwork's terms of service additionally govern that contract and control where they conflict.

Scoping, quotes, and payment

Fixed-price work (Build Sprints, AI Front Desk setup) is quoted in writing before work begins, and the written scope is what the price buys. Changes to scope are quoted before they are built, never billed as a surprise.

Recurring plans (Care Plan, Growth Partner, Scale Partner, Dedicated Specialist seats, AI Front Desk monthly) are billed monthly in advance, run month to month with no long-term contract, and can be paused or cancelled with 10 days written notice. Pay-as-you-go blocks are prepaid; hours roll over and do not expire.

Payment is made through Upwork or by direct invoice as agreed per engagement. Work on a milestone begins once that milestone is funded or invoiced as agreed. Late payment pauses delivery.

Our guarantees, precisely

Verification guarantee: every delivery that changes live system behavior ships with a verification table showing expected behavior against actual behavior, tested against real runs. If a deliverable does not pass its verification criteria, we continue working on it at no additional cost until it does. This guarantee covers the deliverable meeting its written scope; it is not a guarantee of business outcomes.

AI Front Desk 30-day guarantee: if the system is not handling missed-call recovery as scoped within the first 30 days after launch, we refund that month's service fee. The one-time setup fee covers work actually performed and is not refundable once the build is delivered and passing verification.

Dedicated Specialist replacement guarantee: if a specialist is not a fit within the first two weeks, we replace them or refund that month.

What we need from you

Timely access to the systems and information the work requires, a decision-maker who can approve scope and deliverables, and accurate information about your business (especially anything an AI agent will say to your customers, such as pricing rules and service claims). Delays in access or approvals extend timelines by the same amount. You are responsible for the truthfulness of business claims you approve for use in your systems.

Compliance responsibilities

Where work involves SMS, calling, or messaging automation (including A2P 10DLC registration), we build to the platform rules and consent-gating best practices, and we flag compliance requirements we identify. You remain responsible for your business's legal compliance, including TCPA and equivalent laws, the consent status of your contact lists, and the accuracy of registration information you provide to carriers. We are not a law firm and nothing we deliver is legal advice.

Intellectual property

Once an engagement is paid in full, you own the deliverables built for you: workflows, funnels, prompts, configurations, and custom code delivered in your accounts. We retain ownership of our general know-how, internal tooling, and reusable methods that predate or are developed independently of your engagement, and the right to build similar systems for other clients. We do not reuse your confidential business data, and we feature client work publicly only with permission or anonymized.

Third-party platforms

Our work often runs on third-party platforms such as GoHighLevel, Retell AI, Vapi, n8n, Make, Zapier, Twilio, and Stripe. Your subscriptions and usage fees with those platforms are yours, are billed by them under their terms, and can change without our control. We are not responsible for outages, pricing changes, feature removals, or policy decisions of third-party platforms, though we will help you adapt when they happen.

No guarantee of business results

We build systems that work as scoped and we prove it with verification. We do not and cannot guarantee revenue, lead volume, booking rates, rankings, or any specific business outcome, because those depend on your market, offer, and operations. Case studies and statistics on this site describe specific past engagements and are not promises about yours.

Limitation of liability

To the maximum extent permitted by law, Olventra's total liability arising out of any engagement is limited to the amount you paid us for that engagement in the three months before the claim arose, and we are not liable for indirect, incidental, or consequential damages such as lost profits or lost data. Nothing in these terms limits liability that cannot lawfully be limited. Both sides agree to work in good faith to resolve any dispute directly before pursuing other remedies; for Upwork contracts, Upwork's dispute process applies first.

Termination

Either side can end a recurring plan with 10 days written notice. Fixed-price work in progress is settled by paying for milestones and work completed to date, and everything you have paid for is handed off with documentation. We may decline or end work that would require us to act unlawfully, deceptively, or against platform terms.

Governing law and changes

These terms are governed by the laws of Pakistan, where Olventra currently operates, without regard to conflict-of-law rules; contracts made through Upwork remain governed by Upwork's terms. If Olventra's legal structure changes (for example, formation of a US entity), engagements from that point will be under the new entity and these terms will be updated. We may update these terms by posting a new version here with a new effective date; the version in force when you engaged us governs that engagement.
